{"id":11584,"date":"2019-11-24T07:03:31","date_gmt":"2019-11-24T13:03:31","guid":{"rendered":"https:\/\/hammerle.com\/?p=11584"},"modified":"2025-06-18T17:28:52","modified_gmt":"2025-06-18T22:28:52","slug":"how-to-start-an-llc-in-texas","status":"publish","type":"post","link":"https:\/\/hammerle.com\/legaltalk\/business-law\/how-to-start-an-llc-in-texas\/","title":{"rendered":"How To Start An LLC In Texas"},"content":{"rendered":"<h2>Join the Club &#8211;\u00a0 The Exclusive, Elusive Texas LLC<\/h2>\n<p>Limited Liability Companies are all the rage in business circles.\u00a0 You need to know the basics if you have any aspirations at all to run with the in-crowd.\u00a0 You may eventually decide that you need to bring at least one LLC into your life.<\/p>\n<p>An LLC is a creature of statute.\u00a0 Since we\u2019re in Texas, we will focus on LLCs created under Texas law.<\/p>\n<h2>Who Can Own an LLC in Texas?<\/h2>\n<p>When we talk LLC language, then we do not mention such outdated concepts as \u201cstock.\u201d\u00a0 Every owner of an interest in an LLC is part of its exclusive club of \u201cmembers.\u201d An LLC can have one member or hundreds of members.\u00a0 As in all social clubs, not every member has to be equal.<\/p>\n<p>An LLC is operated by its members or by one or more managers.\u00a0 This is such an important point that the decision has to be spelled out in the LLC\u2019s formation document, the Certificate of Formation.<\/p>\n<h2>When Does An LLC Become Alive?<\/h2>\n<p>The LLC usually comes alive when the <a href=\"https:\/\/www.sos.state.tx.us\/corp\/formationfaqs.shtml\">Certificate is filed with the Secretary of State<\/a>.\u00a0 The LLC is a separate taxable entity and has its own Employer Identification Number. The LLC can choose to be taxed as a corporation or as a partnership.<\/p>\n<p>While some Certificates of Formation go into detail about operation and ownership, most are pretty simple. Instead, those details are set forth in a company agreement. A Company Agreement is enforceable even if the LLC has only one member.<\/p>\n<p>Of course, some LLCs do not bother with such formalities. \u00a0 In that case, Texas helpfully fills in the blanks through the provisions found in the Texas Business Organizations Code.<\/p>\n<h2>What Are The Benefits Of An LLC In Texas?<\/h2>\n<p>A Texas LLC can exist forever.\u00a0 The formal term for this is \u201c<a href=\"https:\/\/statutes.capitol.texas.gov\/Docs\/BO\/htm\/BO.3.htm\">perpetual existence<\/a>.\u201d \u00a0 It is the default unless the Certificate provides a different term of existence.<\/p>\n<p>There is a pretty cool variation of the run-of-the-mill LLC:\u00a0 a series LLC.
