She makes 3 loan payments and then stops.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The lending company contacts you and demands payment. You refuse, telling them to pursue your granddaughter first on her default.\u00a0 They laugh in your face and then sue you.<\/span><\/p>\n<h2><b>Can They Do That?\u00a0<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Glad you asked.\u00a0 The law of guaranty agreements can be confusing.\u00a0\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Your liability is found in your written guaranty agreement.\u00a0 That is the contract where you agreed to be responsible for your granddaughter paying her loan. In the legal world, your granddaughter is the \u201cobligor,\u201d the lender (or holder of the note) is the \u201c<\/span><a href=\"https:\/\/hammerle.com\/legaltalk\/2023\/06\/creditor-lawsuit\/\"><span style=\"font-weight: 400;\">creditor<\/span><\/a><span style=\"font-weight: 400;\">,\u201d and you are the \u201cguarantor.\u201d<\/span><\/p>\n<h2><b>Understanding the Types of Loan Guarantees<\/b><\/h2>\n<h3><b>Guaranty of Payment<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">A guaranty of payment means you guarantee that the loan will be paid. The creditor does not have to pursue your granddaughter for payment first; it can proceed directly against you. Under your guaranty agreement, you are primarily responsible for the loan.<\/span><\/p>\n<h3><b>Guaranty of Collection<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">A guaranty of collection means you agree the debt will be paid only if it cannot be collected from your granddaughter. The creditor must use reasonable diligence to pursue her first.<\/span><\/p>\n<h4><b>Texas Exceptions<\/b><\/h4>\n<p><span style=\"font-weight: 400;\">In Texas, there are exceptions. The creditor does not have to include your granddaughter in its suit against you if:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">She is a nonresident<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Her residence cannot be found<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">She is dead<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">She is actually or notoriously insolvent<\/span><\/li>\n<\/ul>\n<h2><b>Continuing vs. Specific Guarantees<\/b><\/h2>\n<h3><b>Continuing Guarantee<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">A continuing guarantee means you anticipate your granddaughter may take out more loans in the future, and you\u2019re guaranteeing all of them.<\/span><\/p>\n<h3><b>Specific Guarantee<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">A specific guarantee covers only the liability specified in the<\/span><a href=\"https:\/\/hammerle.com\/legaltalk\/2022\/03\/guaranty-agreements\/\"><span style=\"font-weight: 400;\"> guaranty contract<\/span><\/a><span style=\"font-weight: 400;\">\u2014nothing more.<\/span><\/p>\n<h2><b>What Must a Creditor Prove to Sue a Guarantor?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">To sue you, the creditor must show several things:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Written Guaranty: Your guaranty must be in writing. It must be signed by you\u2013an electronic signature is valid.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Ownership: The creditor must own both the guaranty and your granddaughter\u2019s debt.\u00a0\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Default: Your granddaughter must be in default.\u00a0\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Nonperformance: You must fail or refuse to perform your obligations under your guaranty agreement.<\/span><\/li>\n<\/ol>\n<h2><b>What Happens If You Signed an Absolute Guaranty?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">After looking at the documents, you realize that you signed an absolute guaranty where you agreed to be primarily, jointly, severally, and unconditionally liable on the loan. Thus, the creditor can sue you directly without having to pursue your granddaughter first.\u00a0\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Things look bleak.\u00a0 You may have to pay the creditor for the unpaid balance of the loan, plus interest, attorneys&#8217; fees, and costs.\u00a0\u00a0<\/span><\/p>\n<h2><b>Common Guarantor Defenses (That Don\u2019t Work)<\/b><\/h2>\n<h3><b>\u201cI Didn\u2019t Get Any Consideration\u201d<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">You say, \u201cI never received any consideration for signing the guaranty. My granddaughter got the money, not me.\u201d<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\"> Nice try\u2014but not a winning argument. The consideration for the loan also supports the guaranty.<\/span><\/p>\n<h3><b>\u201cHer Signature Was Forged\u201d<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">You think your granddaughter\u2019s signature on the loan was forged.<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\"> Sorry\u2014your broad guaranty makes you primarily liable, regardless.<\/span><\/p>\n<h3><b>\u201cThis Is Usury!\u201d<\/b><\/h3>\n<p><span style=\"font-weight: 400;\">You argue that the creditor is charging too much interest.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Another loser: a usury defense is personal to the obligor (your granddaughter), and it\u2019s not available to you.<\/span><\/p>\n<h2><b>What Can You Do Now?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The creditor is likely going to get a judgment against you. After all, you signed an absolute guaranty that makes you jointly and unconditionally liable for the debt. Your sole recourse at that point may be to sue your granddaughter to recover your money\u2014a difficult and often costly process.<\/span><\/p>\n<h2><b>Final Takeaway: Think Before You Sign a Guaranty Agreement<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The lesson?
